Why Spreadsheets Fail for AI Governance

Spreadsheets are often the first tool organizations reach for when AI governance begins. They are familiar, fast, and flexible. But spreadsheets create documentation — they do not create governance. AI governance requires responsibility, workflow, evidence, approval, audit trail, re-screening, role logic, and reconstructable decision records. A spreadsheet can list AI systems. It cannot govern them.

The distinction between documentation and operational compliance is critical. Many organizations create an AI inventory, add risk classes and owners, note that a system was reviewed, and store links to documents. The result looks organized. But the core governance question remains unanswered: can the organization prove how the AI system was reviewed, who approved it, what evidence existed, which obligations applied, and what changed later? A spreadsheet usually cannot answer this reliably. It shows a state. It does not preserve the decision process.

Spreadsheets list systems, but do not create ownership

An AI governance spreadsheet may include an owner column. But an owner column is not the same as responsibility. A name in a cell does not ensure that the person was assigned, notified, made accountable, or involved in the review process. It does not show whether the owner completed required information. It does not show whether missing evidence was routed to them. It does not show whether they accepted responsibility. It does not show whether the supervisor reviewed their input.

In governed AI compliance, responsibility must be operational. The system must know who must act, what they must complete, what is overdue, what is missing, and what requires approval. A spreadsheet records ownership. It does not enforce it.

Spreadsheets cannot create governed approval

AI systems should not move into approval based on informal confirmation. A mature AI governance process requires structured review and approval logic. The approver should see the system context, screening result, risk classification, actor role, obligation matrix, evidence readiness, open gaps, non-applicability rationale, and legal source context. The approval should be attributed. The decision should be timestamped. The outcome should be preserved. If a system is rejected, returned for completion, or approved with a documented override, that path should be recorded.

Spreadsheets do not naturally create this approval structure. A row may be marked approved, but the approval context is often unclear. Who approved? What did they see? What evidence existed? Were there unresolved gaps? Was an override used? Was legal review required? Without these answers, approval remains weak.

Spreadsheets cannot manage evidence readiness

AI governance depends on evidence. Organizations must be able to show what supports their decisions — system evidence, screening evidence, risk classification rationale, actor-role assessment, obligation evidence, technical documentation, human oversight evidence, transparency evidence, data governance evidence, provider documentation, AI literacy evidence, and approval evidence.

A spreadsheet may contain links to documents. But evidence readiness is more than links. The organization must know which evidence supports which obligation, which evidence is complete, which is partial, which is missing, which is externally covered, which is not applicable, and which role must act. Spreadsheets usually collapse evidence into simple status fields — complete, open, missing, N/A. That is not enough for AI governance. Evidence readiness requires structured relationships between system, obligation, evidence, owner, status, and review.

Spreadsheets cannot distinguish missing from not applicable

One of the most dangerous weaknesses in spreadsheets is the uncontrolled use of "N/A." A cell marked "N/A" can mean several things: the obligation was reviewed and found not applicable; the reviewer did not know the answer; the information was missing; the question was skipped; the obligation was assumed irrelevant; the vendor said it did not apply; or the system owner did not complete the field. These are not the same.

AI governance requires precise status logic. Missing is not the same as not applicable. Unclear is not the same as not applicable. Externally covered is not the same as not applicable. Risk accepted is not the same as not applicable. A spreadsheet hides these distinctions. A governance platform must make them visible.

AI compliance decisions happen in time. The legal context may change. Guidance may evolve. National interpretation may develop. A system may be reviewed under one context and re-screened under another. A strong governance record should show which legal source context applied when the decision was made. Spreadsheets rarely preserve this properly. A row may show a current status, but not the legal context behind the original decision. If the classification later changes, the old context may be overwritten. If a decision is challenged, the organization may struggle to show what was considered at the time. A spreadsheet is weak at point-in-time governance.

Spreadsheets cannot support structured re-screening

AI compliance is not frozen at first approval. A system may require renewed review when the law changes, guidance evolves, the use case changes, the actor role changes, the vendor changes, the system is modified, personal data is introduced, or a high-risk context emerges. Re-screening requires a structured record. The organization must know which systems are affected, why they require review, what changed, who must act, and how the new decision compares with the prior record.

Spreadsheets can add a column called "re-screening required." But they do not create re-screening workflow. They do not preserve the old screening record. They do not maintain versioned history. They do not show the difference between prior and current decisions. They do not preserve the approval path. Approved once does not mean compliant forever.

Spreadsheets cannot create audit trails

Audit-ready AI governance requires traceability. The organization should be able to show who changed a record, what changed, when it changed, why it changed, which evidence was added, which classification was updated, which approval was granted, and which override was used. Spreadsheets may have version history, but it is not the same as a structured audit trail. Version history is often file-level, not governance-object-level. It may not show field-level meaning. It may not connect changes to approvals. It may not preserve user attribution in a compliance-ready way. It may be fragmented across copies.

A spreadsheet can be edited. A governance platform must be able to reconstruct. If it cannot be reconstructed, it cannot be defended.

Spreadsheets cannot create role-based governance

AI governance involves different roles. Business users describe purpose and use. Technical owners complete system, data, provider, and deployment information. Compliance teams review obligations. Legal teams assess uncertainty. Supervisors approve or return the record. Auditors need read-only visibility. Management needs consolidated status. A spreadsheet gives everyone the same basic surface unless manual controls are added.

It does not create role-based intake, technical completion, supervisor review, auditor visibility, or management cockpit views. It does not enforce who can act at which stage. It does not prevent blind approval. It does not route missing information. It does not separate accountable roles from casual editors. Role-based governance is difficult to operate in a spreadsheet.

Spreadsheets cannot prevent shadow governance

Spreadsheets often create the illusion of central control while shadow processes continue elsewhere. The AI inventory is in one file. The legal review is in email. The technical evidence is in a shared drive. The vendor documentation is in procurement. The DPIA is in a GDPR folder. The approval is in a meeting note. The risk acceptance is in a separate document. The re-screening reminder is in someone's calendar.

This means the spreadsheet becomes a pointer to fragmented governance, not the governance system itself. The organization may believe it has control because the spreadsheet exists. But the actual decision process remains scattered.

Spreadsheets cannot scale across modules

AI governance does not remain limited to the EU AI Act. Where personal data is involved, GDPR becomes relevant. Where cybersecurity and critical services are involved, NIS2 may become relevant. Where vendors provide AI or operational infrastructure, supplier governance becomes relevant. Where employees use or oversee AI systems, AI literacy evidence becomes relevant. Where management needs visibility, reporting becomes relevant.

A spreadsheet-based approach may create separate trackers for each domain — AI systems, processing activities, DPIAs, TOMs, vendors, incidents, security measures, evidence, actions. This creates fragmentation. Operational compliance requires connected governance objects. The AI system should connect to GDPR records, evidence records, vendor context, NIS2 dependencies, approvals, and reports where relevant. Spreadsheets struggle to maintain those relationships reliably.

The hidden cost

Spreadsheets appear inexpensive. But the alternative to a governance platform is not free. The real cost appears in coordination, rework, legal review, manual follow-up, version confusion, weak evidence, repeated status meetings, inconsistent ownership, audit preparation, and inability to reconstruct decisions. The organization pays when teams search for evidence, when legal must re-answer the same question, when management lacks visibility, when auditors request explanations, and when systems must be re-screened manually.
